Terms of Service — CPAADV Flow

Version 1.0 · Last updated: 12 October 2026

These Terms govern the use of CPAADV Flow (the "Service"). The Service is operated by HI ACCOUNT LTD (היי אקאונט בע״מ), Israeli company no. 516598737, business address: 11 HaTzanchanim Street, Apartment 6, Holon 5827513, Israel (the "Operator", "we", "us"). Service enquiries: [email protected].

1. Definitions

  • Office — the business (company, partnership, sole proprietor or other organisation) in whose name a workspace is opened in the Service, and which is the customer contracting with the Operator.
  • Account Owner — the user who opened the Office workspace or was made its owner, and who is authorised to act for the Office on subscription and billing matters.
  • User — any person given access to the Office workspace (owner, admin or staff).
  • Active User — a User whose invitation has been accepted and whose access to the Office workspace is active. An invitation not yet accepted and a deactivated User are not Active Users.
  • End Client — a person or organisation from whom the Office requests documents or information through the Service.
  • Portal — the page an End Client reaches through a personal link the Office sends them.
  • Content — documents, files, messages and other information that Users or End Clients upload to or enter into the Service.
  • DPA — the Service's Data Processing Agreement, which forms an integral part of these Terms.

2. The Service

The Service is an online system for professional offices to manage clients, processes and document requests; to receive documents from End Clients through a Portal, review and download them; and to manage tasks, follow-ups, team members and office branding. The Service is a technology tool only. It provides no legal, accounting, tax or other professional advice and does not replace the Office's own professional judgement and responsibility towards its clients.

3. Business use and contracting

3.1. The Service is intended for business use only. Opening an Office workspace is a contract made by the Office, and the person opening it represents that they are authorised to bind the Office to these Terms.

3.2. The contract is formed when the Account Owner indicates acceptance of these Terms and the DPA when opening the Office workspace. When adding a payment method, a separate acceptance of the recurring monthly charge is requested. We keep a record of each acceptance, the version of the documents presented and the time it was given.

3.3. If the Office is a "consumer" under applicable law, nothing in these Terms limits rights that the law confers on it and that cannot be contracted out of.

4. Accounts, Users and security

4.1. Sign-in to the Service uses a Google account. The Office is responsible for ensuring that every User signs in with a personal, secured account and does not share their sign-in.

4.2. The Account Owner and admins are responsible for inviting Users, setting their roles and permissions, deactivating access that is no longer needed, and for actions taken in the Office workspace.

4.3. A Portal link is personal: anyone holding it can reach that End Client's Portal. The Office must send each link only to the relevant End Client and through an appropriate channel. If a link reaches an unauthorised person, the Office should issue a new link on the client screen; issuing a new link immediately cancels the previous one and remains available even when the workspace is read-only.

4.4. Please notify us without delay of any suspected unauthorised access to the Office workspace.

5. The Office's responsibility towards End Clients

The Office decides which documents and information to request, from whom and for what purpose, and is responsible towards its End Clients for the lawfulness of the collection, for giving any privacy notice required of it, and for the use of the documents. For End Client Content, the Office is the controller and the Operator processes it only on the Office's behalf, as set out in the DPA.

6. Prohibited use

The Service may not be used: in breach of law or of the rights of others; to upload Content that the Office has no right to collect, hold or transfer; to distribute malware or attempt to break into the Service, circumvent its security or reach another Office's data; for load testing, scanning or reverse engineering without our prior written approval; or to send spam or abusive messages.

7. Free trial

7.1. A new Office workspace starts with a 30-day free trial, with no payment method required and with all core capabilities of the Service.

7.2. At the end of the trial, the Service continues as a paid subscription only if the Account Owner has completed the billing details and added a payment method. Otherwise, after a short grace period (section 10), the workspace becomes read-only.

8. Prices

8.1. The current plan in Israel ("CPAADV Flow Core") is NIS 249 plus VAT per month, including up to three Active Users, and NIS 50 plus VAT per month for each additional Active User. Prices are in Israeli new shekels; VAT is added at the rate in force on the charge date.

8.2. An additional Active User is included in the charge from the monthly period after they are added. Adding a User is not prorated and deactivating a User mid-period is not refunded; the change is reflected in the next charge.

8.3. The expected amount of the next charge is shown at all times on the billing screen.

9. Recurring monthly billing and payment

9.1. Payment is processed by the payment provider Cardcom on its secure payment page. Full card details never pass through the Service and are not stored in it.

9.2. By adding a payment method, the Account Owner authorises a recurring monthly charge. Each charge is made in advance for a monthly period, starting on the date the trial ends and on the same date each month thereafter, until the subscription is cancelled.

9.3. A tax invoice/receipt issued by HI ACCOUNT LTD through Cardcom is produced for each payment and sent to the email address given in the billing details.

9.4. A price change applies only after at least 30 days' prior notice to the Account Owner, unless applicable law requires a different period or approach, and the Account Owner may cancel before the change takes effect. A change never applies to a period already paid for, and existing subscription terms are not changed without such notice.

10. Payment failure, grace period and read-only mode

10.1. If a charge fails, the Service continues to operate normally for a short grace period, during which the charge is retried and the Account Owner can update the payment method on the billing screen. As of the date of these Terms, the grace period is up to 3 days where no payment has yet succeeded, and up to 7 days where a payment has previously succeeded. The exact date is shown on the billing screen.

10.2. If no payment is made by the end of the grace period, the workspace automatically becomes read-only: Users can sign in, view existing information and download documents already received, but new clients, processes or tasks cannot be created and End Clients cannot upload new documents. Security actions, such as issuing a new Portal link or deactivating a User, remain available.

10.3. A successful payment, including after a new payment method is added, automatically restores full operation.

11. Cancellation and refunds

11.1. The Account Owner may cancel the subscription at any time, by themselves, on the billing screen. Cancellation takes effect at the end of the paid period (or at the end of the trial, if cancelled during it), and the Service operates normally until then. The cancellation can be withdrawn until it takes effect.

11.2. Once the cancellation takes effect, the workspace becomes read-only and no further charges are made.

11.3. There is no automatic pro-rata refund for any unused part of a period. This does not limit any statutory right of cancellation, restitution or refund that cannot be contracted out of.

12. Suspension and termination by the Operator

12.1. We may suspend access to an Office workspace, in whole or in part, immediately and only to the extent reasonably necessary, in the event of a serious security incident, suspected unlawful activity, a material threat to the Service, to other Offices or to third parties, or to comply with law or an order of a competent authority. We will notify the Account Owner of the suspension and its reason as soon as practicable, unless the law or security considerations prevent it, and will lift it once the reason no longer exists.

12.2. We may terminate the contract for a material breach of these Terms not remedied within 14 days of notice, or immediately for a breach that cannot be remedied. Where possible and permitted by law, we will let the Office download the documents in its workspace before access ends. This section does not derogate from any other right or remedy available to either party under law.

12.3. We may permanently discontinue the Service on at least 90 days' notice, where reasonably practicable. Where such notice is not possible because of a legal requirement, an urgent security concern, force majeure or other circumstances beyond our reasonable control, we will give as much notice as the circumstances allow. In any permanent discontinuation, we will refund the proportionate part of fees paid in advance for any period after the Service ends and, where possible, let the Office download its documents before access ends.

13. Content, ownership and data retention

13.1. Content belongs to the Office, its End Clients or the respective rights holders. The Office grants the Operator a limited, non-exclusive licence to store, process, display and transmit Content solely to provide the Service, secure it, give support and fix faults, in accordance with the DPA.

13.2. The Service is a document collection and transfer point and is not intended as a long-term archive. The Office should download and keep in its own systems the documents it needs.

13.3. Retention and deletion of documents and workspaces are described in the Privacy Policy. As of the date of these Terms, automatic deletion of documents and of Office workspaces is not active; before it is activated we will update these documents and give Account Owners advance notice.

14. Confidentiality

Each party will keep confidential any non-public information of the other party received under the contract and use it only for the contract. The Operator will give access to Content only to persons and providers who need it to provide the Service, secure it, give support and fix faults, and who are bound by confidentiality, or as required by law.

15. Intellectual property

All rights in the Service, its software, design and the CPAADV Flow brand belong to the Operator or its licensors. The Office receives a limited, non-exclusive, non-transferable right to use the Service during the subscription and in accordance with these Terms. We may use any improvement suggestions the Office gives us without obligation to it.

16. Availability and disclaimer

16.1. We work to provide an available, stable and secure Service, and carry out maintenance and updates from time to time. The Service is nevertheless provided "as is" and "as available", and we do not warrant that it will operate without interruption, error or compromise, or that it will suit a particular need of the Office.

16.2. We make no commitment as to recovery times or to the existence of backups at any particular time beyond what is stated in the Privacy Policy.

17. Limitation of liability

17.1. To the fullest extent permitted by law, the Operator is not liable for indirect, consequential or special damage, including loss of profits, revenue, goodwill or data.

17.2. To the fullest extent permitted by law, the Operator's total aggregate liability in connection with the Service and these Terms is limited to the subscription fees actually paid by the Office to the Operator in the 12 months preceding the event giving rise to the liability.

17.3. The limitations in this section do not apply to fraud or intentionally caused damage, or to liability that cannot be limited or excluded under applicable law.

18. Indemnity

The Office will indemnify the Operator for damage and reasonable expenses, including reasonable legal fees, arising from a third-party claim based on Content that the Office or its End Clients uploaded in breach of law, or on the Office's use of the Service in breach of these Terms, provided the Operator notifies the Office of the claim promptly and allows it to defend the claim.

19. Force majeure

Neither party is liable for delay or failure caused by circumstances beyond its reasonable control, including war, hostilities, a state of emergency, strikes, natural disasters, widespread power or communications failure, or a general failure of an infrastructure provider. This does not release the Office from paying for Service provided.

20. Changes and notices

20.1. We may update these Terms from time to time. A material change will be notified to the Account Owner by email or in the Service at least 30 days before it takes effect (unless applicable law requires a different approach) and, where the law so requires, renewed acceptance will be requested. Continued use after the change takes effect constitutes acceptance, unless the Office cancelled before then.

20.2. Notices to us should be sent to [email protected]. Notices to the Office will be sent to the Account Owner's email address or shown in the Service.

21. Order of precedence

The contract consists of these Terms and the DPA. For the processing of personal data on the Office's behalf, the DPA prevails. In all other matters these Terms prevail. The Privacy Policy and the Accessibility Statement are notices to users and do not add to the Office's obligations.

22. Governing law and jurisdiction

A contract with an Office in Israel is governed exclusively by Israeli law, and the competent courts of the Tel Aviv-Jaffa district have exclusive jurisdiction, subject to mandatory provisions of law.

23. General

23.1. The Office may not assign its rights under these Terms without our prior consent. The Operator may assign the contract as part of a merger, acquisition or transfer of business, provided the Office's rights are not prejudiced.

23.2. If any provision of these Terms is held unenforceable, the remaining provisions remain in force. No waiver or delay in exercising a right is a waiver of it.

23.3. These Terms, together with the DPA, are the entire agreement between the parties regarding the Service.

24. Language

These Terms are published in Hebrew and English. For Offices in Israel the Hebrew version is binding to the extent permitted by law; the English version is provided for convenience.
